Terms and conditions

RESOURCES

Overview

These Terms and Conditions govern business use of Aurora's platform and advertising services. In these Terms, "Aurora", "Aurora Group", "we", "us" and "our" refer, as applicable, to the following group companies:

  • Aurora Global Holdings Limited
    Hong Kong

  • Aurora Global Limited
    Bulgaria

  • Aurora Group Platforms LLC
    Wyoming, United States

All three companies are covered by these Terms. Your contracting entity for a particular service must be identified in your order, service agreement, account confirmation or invoice. If it is not clear, contact us before ordering or funding the service. Another group company may support delivery or process payments where disclosed; that does not itself change your contracting entity or make every group company jointly liable. Each company is responsible for its own obligations unless expressly agreed otherwise or required by law.

These Terms apply to services accessed through auroragroup.com, agency-aurora.com, platform.auroragroup.com, and associated applications and interfaces that reference these Terms. "You" means the customer and, where applicable, the business on whose behalf an authorised user acts.

Aurora provides software and services for advertising research, creative production, campaign management, account access, funding and measurement. Availability depends on the service, account and advertising platform. These Terms do not grant ownership of a third-party advertising account, permission to rent or resell accounts, or an exemption from any platform policy.

Nothing in these Terms excludes rights or obligations that applicable law does not permit the parties to exclude. Specific written service terms prevail over these Terms only for the service and provisions they expressly address; neither can override applicable law or an advertising platform's requirements.

1. Acceptance of terms

By accepting these Terms during registration or ordering, or using services to which these Terms have been made available, you agree to them on behalf of yourself and the business you represent. You must have authority to bind that business and authorise its advertising and expenditure. If you do not agree, do not use the services.

The services are intended for business use. You must be legally capable of contracting, provide accurate information, and comply with applicable law and the relevant advertising platform's terms. We may refuse an application where the proposed activity, verification results, applicable restrictions or our service requirements make it unsuitable.

Updates to these Terms are governed by Section 20. No acceptance or use authorises an activity that would otherwise be unlawful or prohibited by the advertising platform.

2. Account

You must provide accurate registration information, keep it current, and protect passwords, access tokens and other credentials. Only authorised users may access your account. You are responsible for the permissions you give your staff, contractors and representatives and for instructions submitted by them, subject to applicable law.

Tell us promptly at support@auroragroup.com if you suspect unauthorised access, an incorrect permission or a compromised integration. Do not share access outside your authorised team or connect an account you do not have permission to manage.

If you act for a client or another advertiser, you must have and retain authority to manage its accounts, use its content and data, accept relevant platform terms, and incur the expenditure you instruct. Identify the underlying advertiser when requested. Your arrangement with a client does not remove your obligations to Aurora or the advertising platform.

We may send service, security, billing and compliance notices to your registered contact details. Marketing preferences do not prevent necessary service communications. You may request closure through the platform or support; closure does not erase accrued charges, outstanding compliance obligations or records we must lawfully retain.

3. Client Verification and Compliance

3.1 KYC, KYB and ongoing due diligence

We reserve the right to carry out Know Your Customer (KYC), Know Your Business (KYB), identity, ownership, authority, fraud and other reasonable risk-based checks before onboarding and at any point during or after the relationship where necessary for compliance, a transaction or an investigation. Checks may cover the customer, underlying advertisers, directors, beneficial owners, controllers, authorised users, payers and other relevant counterparties.

We may request company registration and ownership records, identity and address evidence, authority to act, business activities, websites, relevant licences, source of funds and, where reasonably necessary, source of wealth. We may use lawful independent sources and specialist verification providers and request refreshed information. You must provide accurate, complete documents within the reasonable timeframe specified and promptly report material changes.

We may refuse onboarding, delay a transaction, restrict services or terminate access if checks cannot be completed satisfactorily or information is misleading. Fund holds are governed by Section 17. Verification does not certify your business or guarantee acceptance by any advertising platform. Personal information is handled under our Privacy Policy and applicable data-protection law; requests must be relevant and proportionate to their purpose.

3.2 Sanctions and trade restrictions

We require compliance with the sanctions, asset-freezing, trade-control and other restrictions applicable to the relevant Aurora entity, service, person or transaction. These may include United Nations measures as implemented locally, United States measures administered by OFAC, United Kingdom measures administered by OFSI, European Union measures, and applicable Hong Kong, Bulgarian and other local requirements.

You must not use the services in a way that breaches those restrictions. You represent that neither you nor any relevant owner, controller, underlying advertiser or person on whose behalf you act is a prohibited counterparty for the service or transaction. You must disclose relevant ownership, control, location and activity accurately and must not disguise a sanctioned party, destination or transaction.

We may screen and re-screen relevant persons, businesses, payments and wallet addresses, including ownership and control relationships rather than names alone. We may refuse or suspend services and block, freeze or restrict funds where required by law or reasonably necessary to investigate a suspected prohibition. We will not return, transfer or release restricted funds where doing so would be unlawful or requires an authorisation that has not been obtained. No provision requires action prohibited by law.

3.3 Transaction monitoring

We may use payment screening, blockchain analytics and other lawful monitoring tools to assess funding sources and transaction risk. We may request supporting records, delay a transaction for review, or reject a transaction presenting an unacceptable compliance or fraud risk. Funds may be returned only where lawful and subject to verification, payment-provider requirements and Sections 13 and 17.

3.4 Cooperation and disclosures

We may retain relevant records and make disclosures required or permitted by applicable law to competent authorities. We may also provide information reasonably necessary for verification, fraud prevention or policy enforcement to relevant advertising platforms, payment providers and compliance service providers, subject to confidentiality, data-protection requirements and our Privacy Policy. We may be prohibited from telling you about a report or investigation.

3.5 Your continuing obligations

You must not use the services for money laundering, terrorist financing, sanctions evasion, fraud or other unlawful activity. Funds must have a lawful source, and you must own them or have valid authority to use them. Do not act for an undisclosed advertiser or payer. Cooperate with reasonable compliance requests and tell us promptly if a representation becomes inaccurate. A material breach may lead to immediate removal, reporting and a lawful fund hold under Section 17; it does not automatically make every remaining balance our property.

4. Advertising Accounts

4.1 Account access and permitted use

You may open advertising accounts through Aurora or connect accounts you are authorised to manage, where the relevant service and platform permit. An "Aurora-provided account" means an account made available through our service arrangements for authorised advertising activity. It is not sold, rented or transferred to you by these Terms. Your access and permissions remain subject to the platform's rules and the arrangement applicable to that account.

Any reference to an agency, partner or business account describes the operational arrangement only. It is not a promise of preferential enforcement, guaranteed approval, unlimited spending, permanent availability or protection from restrictions. We do not provide accounts to bypass a suspension or platform verification requirement.

Depending on available functionality, you may use Aurora to create, launch, edit, pause and manage campaigns directly, manage funding and review reporting. You remain subject to the relevant platform's terms even when you use Aurora's interface instead of its own.

4.2 Account identification and reporting

Accounts are identified by their platform-generated account ID and their displayed name. Check the account ID, currency, campaign and advertiser before submitting an instruction. "Network Media Cost" means the advertising charges reported by the relevant advertising platform, before Aurora's own fees. "Aurora Fees" means the service, funding or account charges disclosed for your arrangement.

Balances, spend, campaign metrics and performance figures displayed in Aurora may be delayed, rounded, converted or subsequently corrected as data is reconciled. A spend or total-charge figure for an Aurora-provided account may include both Network Media Cost and applicable Aurora Fees. The relevant fee schedule, account terms and transaction or billing records explain the basis; contact us if a figure is unclear.

Network records are the primary evidence of Network Media Cost, subject to corrections and credits issued by the network. Aurora's records identify its disclosed fees, funding movements and adjustments. We will investigate substantiated discrepancies and correct confirmed errors; neither source makes an erroneous charge immune from challenge.

4.3 Advertiser responsibilities and platform policies

You are responsible for your business, products, landing pages, targeting, content, claims, licences, disclosures and permissions. They must comply with applicable law and each relevant advertising platform's current terms, advertising policies, verification requirements and enforcement decisions, including those of Meta, Google, TikTok, Snapchat and any other platform you use.

Do not cloak or substitute destinations, misrepresent a business or payer, use prohibited content, create replacement accounts to evade enforcement, or conceal a restricted advertiser. Aurora approval or technical acceptance does not replace platform approval or relieve you of these obligations. You must not resell, rent, transfer or redistribute account access or credentials. Authorised management of an identified client's advertising is subject to that client's authority and the platform's permission.

Maintain sufficient cleared funds, monitor campaigns and respond to compliance requests. We may refuse content or remove a non-compliant business and its access under Section 17. We may act immediately without prior notice when a platform requires closure or restriction, or when prompt action is necessary to prevent a serious breach or harm.

4.4 Fees, funding and displayed charges

For Aurora-provided accounts, you pay the applicable Network Media Cost together with the Aurora Fees disclosed for that account. Depending on the arrangement, Aurora Fees may be deducted when funds are added, applied as funds are spent, reflected within displayed spend, or charged through a combination of those methods. Any fees for adding funds to an ad account will be displayed in the Aurora platform when you add those funds, before you confirm the transaction.

A top-up is not necessarily credited in full as media-buying capacity after disclosed fees or conversion. A combined spending figure may represent both media cost and an Aurora fee. We will not collect the same fee twice merely because it appears in more than one view. Separately disclosed funding and usage fees may both apply. For a connected customer-owned account, charges billed directly by the network remain payable under your arrangement with it, in addition to any separately agreed Aurora Fees.

We may change fees prospectively with advance notice. A change does not retrospectively increase fees on activity already processed. You remain responsible for authorised activity and charges incurred before a change, pause or closure becomes effective.

4.5 Balances and discrepancies

A wallet balance, network balance and account spending limit describe different things. A spending limit is a control on permitted expenditure, not necessarily cash held for you. Refund eligibility is based on cleared, reconciled funds under Section 13. We do not have to extend credit.

Review deposits, allocations, transactions and balances promptly and report discrepancies to support@auroragroup.com, ideally within 14 days, with the account ID and relevant receipts or transaction references. Delayed reporting can make investigation harder but does not remove rights that cannot lawfully be excluded. We will investigate supporting evidence and correct confirmed crediting or billing errors within a reasonable time.

5. Subscriptions

Creating an account does not itself guarantee free access to every feature. Services may require a paid subscription or separate fees. The plan, features, price, billing interval and any automatic renewal must be disclosed when you subscribe. Advertising funding and usage charges are separate unless expressly included in your agreed plan.

Where you authorise automatic renewal, the subscription renews at the disclosed interval until cancelled. Cancel before the renewal date shown in your account to avoid the next period. We will communicate material plan or price changes before the affected renewal. If payment fails, we may restrict paid services; accrued charges remain due.

Subscription fees are non-refundable except as required by law, expressly agreed in your plan or covered by a confirmed billing error. Section 13 governs refunds. Cancelling a subscription does not itself cancel a campaign that remains active on a third-party platform; follow Section 8.

6. Payments

6.1 Payment methods and charges

Use the payment methods and currencies made available for your account. You must be authorised to use the payment source. Applicable processing fees, conversion terms, taxes and Aurora Fees must be disclosed before the relevant transaction. Cleared funds may be required before services or account funding are made available.

6.2 Cryptocurrency payments

Where offered, cryptocurrency payments must use the exact asset, network and destination we specify. A transaction is accepted only after the required network confirmations and satisfactory compliance review. Incorrect-network or incorrect-address transfers may be irreversible. Blockchain fees, asset-price movements and issuer or network restrictions can affect the amount and timing received.

Payment and wallet infrastructure may be shared across clients. Restrictions imposed by an issuer, network, payment provider or authority can therefore affect funds beyond the transaction that triggered the restriction. We do not guarantee uninterrupted availability or recovery from a third party. Sections 17 and 25 govern related holds and recovery, without excluding responsibility that applicable law does not permit us to exclude.

We may suspend a payment method for legal, security or operational reasons. Any lawful return is subject to verification, network availability and Section 13. Conversion and transfer costs must be explained; a blocked transfer will not be made merely because a refund has been requested.

6.3 Billing disputes

Contact support@auroragroup.com promptly if a charge appears incorrect or you want to request return of unspent funds. We aim to respond within 10 business days. Section 7 covers payment disputes, dishonest chargebacks, supporting evidence and recovery of properly owed amounts. You do not have to wait for our response before exercising an applicable statutory, bank or payment-scheme right.

6.4 Occasional promotions

Cashback, rebates, credits or other promotional benefits are not a standard entitlement. We may offer them from time to time under separate written eligibility, calculation, timing and expiry terms. No offer is implied by past spending or a previous promotion. We may change or withdraw future offers; benefits already earned under an accepted offer remain subject to that offer's terms, including any disclosed supplier-funding condition. Promotional credit is not refundable cash unless the offer expressly says otherwise.

7. Payment Disputes, Chargebacks and Recovery

7.1 Funding authorisation and advertising costs

By confirming a top-up, you confirm that you are authorised to use the payment method and authorise the amount and funding fees displayed before confirmation. You remain responsible for advertising spend you authorise and Aurora Fees properly earned or incurred under the disclosed account terms. A top-up receipt or available account balance is evidence of funding, not proof that all advertising has been delivered. Unspent funds and genuine service or billing errors remain subject to Section 13.

Advertising properly delivered on your instructions is not made refundable solely because it fails to achieve your desired sales, leads, profit or return on spend. Changing your mind, closing an account or a later platform restriction does not itself cancel valid charges already incurred. This does not exclude a remedy for unauthorised activity, non-delivery, misrepresentation or another valid claim.

7.2 Dishonest disputes and chargeback abuse

You must not initiate, encourage or assist a payment dispute, chargeback, bank recall or similar reversal using information you know is false or materially misleading. In particular, you must not:

  • Falsely deny authorising a payment that you authorised, or knowingly misrepresent advertising or services actually supplied as not received.
  • Fabricate evidence, misrepresent your identity or conceal a material refund or credit when pursuing a claim.
  • Knowingly seek to retain advertising, withdrawn funds or usable account credit while dishonestly reversing the payment for it, or seek reimbursement more than once for the same loss.

A dishonest attempt to obtain advertising spend or services without paying is a material breach of these Terms and may constitute fraud under applicable law. A dispute, provisional credit or decision against Aurora does not, by itself, prove dishonesty.

7.3 Genuine disputes and cooperation

Tell us promptly about an apparent error and provide the transaction reference, disputed amount and reason where available. We will investigate relevant evidence and correct confirmed errors. You must provide truthful information and accurately account for any refund or credit already received. Where a claim has been resolved, update the payment provider accurately through its process; we do not require you to withdraw a valid claim as a condition of receiving a refund that is due.

These Terms do not waive or limit any dispute, chargeback, statutory or payment-scheme right that applies to your transaction. Contacting Aurora first, waiting for our investigation or accepting our view of a dispute is not a condition of exercising those rights. Raising a good-faith dispute is not, on its own, grounds for a penalty or an allegation of fraud.

7.4 Evidence and responding to claims

We may contest a claim with relevant records lawfully collected and retained, including the terms and fee disclosures accepted for the transaction; payment authorisation and authentication records; receipts and account-funding records; account IDs; authorised-user activity; campaign instructions; advertising-platform delivery and spend records; refunds, credits and communications. Where lawfully available and relevant, supporting security records may include timestamps, IP addresses and device or login identifiers.

We may provide necessary evidence to the relevant payment provider, acquiring bank, issuer, card scheme, advertising platform, professional adviser or competent authority in accordance with our Privacy Policy and applicable law. We will distinguish funding from delivered advertising and Aurora Fees from Network Media Cost. Our records are evidence to be assessed, not an automatic or conclusive determination that your claim is invalid.

7.5 Account restrictions and recovery from balances

Where there is credible evidence of payment abuse, a reversed payment leaves an account unfunded, or continued access creates an identifiable risk of loss, we may pause further funding or advertising, restrict transfers or withdrawals, suspend access or terminate the relevant account under Section 17. Immediate action without prior notice may be taken where reasonably necessary to prevent further loss. A temporary hold must be proportionate to the exposure and reviewed under Section 17; undisputed funds remain subject to Section 13.

To the extent permitted by law and applicable payment-scheme rules, you authorise the relevant Aurora contracting entity to deduct or set off an amount actually due and payable to it from available balances it owes to you, including across your wallets or accounts held with that same entity. Recoverable amounts may include authorised advertising spend left unpaid by a reversal, disclosed Aurora Fees properly earned, and losses recoverable under Section 18. This is not a right to take unrelated customers' funds, apply an arbitrary penalty, appropriate restricted assets or automatically treat every disputed amount as owed.

We will provide an itemised reconciliation where legally permitted and credit all amounts recovered through a bank decision, refund, deduction or other route, so the same loss is not recovered twice. A payment reversal does not automatically settle a separate, legally enforceable contractual debt, but recovery must respect applicable law, payment-scheme rules and any binding decision or settlement. We will correct deductions shown to be unjustified. This section does not authorise a new card charge or external-account debit without the authority required for that transaction.

7.6 Civil proceedings, damages and enforcement

To the fullest extent permitted by applicable law and payment-scheme rules, the relevant Aurora contracting entity reserves the right to bring civil proceedings against you, including suing for damages, where your material breach of payment obligations, fraud or dishonest misuse of a chargeback or other dispute process causes it loss. We may seek repayment of enforceable debts and compensation for additional losses legally recoverable from you. Our claim is not necessarily limited to the amount of the reversed payment.

Depending on the evidence and applicable law, the amounts we seek may include:

  • Authorised advertising spend left unpaid by a reversal, including amounts Aurora has paid or remains liable to pay to an advertising platform on your instructions, together with disclosed Aurora Fees properly earned.
  • Actual chargeback, reversal and payment-processor charges incurred as a result of your breach or dishonest conduct.
  • Reasonable, documented costs necessarily incurred in investigating the misconduct, tracing the affected transactions, preserving relevant evidence and remedying the resulting account or payment disruption.
  • Proven business losses directly caused by that conduct, including identifiable business-interruption losses or lost profits where legally recoverable and supported by evidence, rather than speculative future earnings.
  • Reasonable debt-collection costs, court fees, legal costs and judgment-enforcement expenses, but only to the extent recoverable under applicable law and any decision of the relevant court or tribunal.
  • Interest on recoverable amounts where lawfully payable or awarded by a court, at the applicable lawful or court-ordered rate.

Any claim is subject to Section 18 and the applicable rules on proof, causation, remoteness of loss, mitigation and assessment of damages. We will take reasonable steps to reduce avoidable losses. This clause does not impose an automatic penalty, fixed damages multiplier or liability for losses caused by Aurora's own breach, negligence or misconduct. A claim for damages must be substantiated; the amount demanded is not conclusive evidence that it is owed.

Where the legal requirements are met, we may also apply for appropriate interim or injunctive relief and seek recognition and enforcement of a judgment in a jurisdiction where you or your assets are located. Proceedings and enforcement remain subject to Sections 28 and 29, applicable procedural requirements and any binding decision or settlement. Closing your account does not extinguish an enforceable debt or an accrued claim.

Recovery through a chargeback response, balance deduction, settlement or court process will be reconciled so that the same loss is not recovered twice. A successful payment reversal does not automatically extinguish a separate enforceable claim, and an unsuccessful dispute does not automatically establish fraud. We will not seek damages or impose costs merely because you exercise a genuine dispute right protected by Section 7.3.

7.7 Reporting suspected criminal conduct

Where evidence gives reasonable grounds to suspect fraud or another offence, we may report it to the police or another competent authority, preserve and provide relevant evidence, and cooperate with lawful investigations and proceedings. Whether an offence has occurred and whether criminal proceedings or penalties follow is for the competent authorities and courts. Criminal allegations will not be used to pressure you to abandon a genuine payment claim.

8. Campaign Instructions and Platform Tools

8.1 Authority to act on your instructions

When an authorised user submits a campaign, funding instruction, API request or automation through Aurora, you authorise us to transmit and implement it through the relevant service and connected advertising platform. You are responsible for reviewing the selected accounts, advertiser, creative, audience, budget, schedule, currency and permissions before submission, and for expenditure properly incurred from those instructions. This authority is limited to delivering your requested services and enforcing these Terms.

8.2 Budgets, pausing and delivery

Budget settings are interpreted according to the relevant network's rules; an average daily budget is not always a hard daily cap. Changes and pause or cancellation requests can take time to reach and take effect on a third-party platform. You remain responsible for valid charges from authorised activity before the change becomes effective, including delayed reported spend. We do not guarantee instantaneous pausing or the absence of network overdelivery. This does not authorise arbitrary Aurora charges or spending unrelated to your instructions.

8.3 Automated and AI-assisted tools

Review generated content and proposed campaign settings for accuracy, rights, suitability and policy compliance before publication or execution. If you enable a recurring rule or automated action, you authorise actions within the permissions and parameters you set and must monitor and update them. Predictions, generated suggestions and performance reports are not a promise of results or professional advice. We may stop an instruction that conflicts with law, platform policy, account permissions or these Terms.

8.4 Measurement and data responsibilities

Reporting, attribution and conversions depend on source data, integrations and measurement settings and may differ between systems. Do not rely on a dashboard metric as a guaranteed business outcome. For pixels, audience uploads and conversion data, you must have a lawful basis, provide required privacy information and obtain required consents. Do not submit sensitive or prohibited data contrary to law or platform rules. Where Aurora processes personal data on your behalf and a data-processing agreement is required, that agreement must be in place for the processing.

8.5 Ending access

Disconnecting Aurora or closing your Aurora account may not stop campaigns on an account you control directly. Before disconnecting, confirm the status with the advertising platform and remove permissions when appropriate. We may restrict access immediately under Section 17; accrued advertising costs and fees remain payable.

9. Intellectual Property and Licenses

The intellectual property rights to the platform and the content available on the platform belong exclusively to Aurora Group. Aurora Group gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the platform provided to you by Aurora Group as part of the services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the services, in the manner permitted by these terms.

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

10. Prohibited Activities

You must not use Aurora for unlawful, misleading or non-compliant business activity. Prohibited activity includes:

  • Money laundering, terrorist financing, fraud, sanctions evasion or an unauthorised use of payment funds.
  • False identity, ownership, advertiser, payer or verification information.
  • Knowingly false payment disputes, fabricated chargeback evidence or dishonest attempts to obtain advertising spend, account credit or duplicate refunds without paying, as described in Section 7.
  • Ads, products, claims or destinations that breach law or the relevant platform's policies.
  • Cloaking, hidden redirects, bait-and-switch destinations, or substituting non-compliant content after review.
  • Using new accounts, another business's identity or Aurora's infrastructure to evade a suspension, spending restriction, verification requirement or other platform enforcement.
  • Renting, selling, transferring or redistributing advertising accounts or access credentials.
  • Unauthorised access, scraping, reverse engineering where lawfully restrictable, malicious code, interference with security or disruption of services.
  • Infringing intellectual-property, privacy or other third-party rights, or sending unlawful spam or abusive content.

We may reject, disable or remove offending content, a campaign, an advertiser, a workspace or the entire customer relationship under Section 17. We cooperate with lawful platform enforcement and do not undertake to help a customer evade it.

11. Disclaimer

By using the platform and the services, you accept personal responsibility for the results of the use of the platform and our services. You agree that Aurora Group does not guarantee any results, profits or losses from advertising campaigns published through our services. The administration, performance, success or failure of advertising campaigns shall be the sole and exclusive responsibility of the users.

Aurora Group provides the platform on an "as is", "as available" basis and makes no promise that use of the platform will be uninterrupted or entirely error free. We are not responsible to you if we are unable to provide our services for any reason beyond our control.

Aurora Group makes no warranty, representation, or guarantee that any third-party advertising platform (including but not limited to Meta, Google, TikTok, Snapchat, or any other network) will approve, maintain, or refrain from restricting or terminating any advertising account provided through the platform. Third-party advertising platforms operate independently and may, at their sole discretion, restrict, suspend, or permanently disable advertising accounts for any reason, including but not limited to policy violations, algorithmic review, or changes to their own terms of service. Aurora Group shall have no liability whatsoever for any action taken by a third-party advertising platform in respect of an advertising account, including any resulting loss of advertising spend, revenue, campaign data, or business opportunity. The user acknowledges that Aurora Group acts as an intermediary in providing access to third-party advertising infrastructure and does not control the policies, decisions, or operations of those platforms.

12. Limitation of Liability

To the maximum extent permitted by law, Aurora Group excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to:

  • Any incorrect or inaccurate information on the platform.
  • Any loss or damage resulting from your use or the inability to use the platform, including any inability to access funds held in cryptocurrency wallets.
  • Any loss of profit, revenue, wasted expenditure, corruption or destruction of data.
  • Any loss arising from the actions of third-party payment processors, stablecoin issuers, blockchain networks, wallet providers, or advertising platforms.
  • Any loss arising from the freezing, blacklisting, seizure, or destruction of cryptocurrency assets by any stablecoin issuer, law enforcement agency, or regulatory authority.
  • Any loss arising from the actions or omissions of third-party advertising platforms, including but not limited to the restriction or termination of advertising accounts.
  • Any loss due to viruses or other malicious software.

Nothing in these Terms excludes or limits Aurora Group's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

13. Refund Policy

13.1 Funding and service delivery

Crediting a wallet or allocating funds to an account records a funding action; it does not mean all media has been delivered or extinguish an otherwise valid right to return of unspent funds. Advertising costs and Aurora Fees are earned or incurred on the basis disclosed for the relevant service.

13.2 Subscription fees

Subscription fees are non-refundable except where law requires otherwise, your agreed plan provides otherwise or a billing error is confirmed. Any unused advertising balance is assessed separately from subscription access.

13.3 Refundable balance

You may request return of cleared, unspent and recoverable funds. The amount is calculated after reconciliation of Network Media Cost, applicable disclosed Aurora Fees already earned or incurred, taxes, conversions, prior refunds, credits and lawful deductions. A fee already deducted from the balance is not deducted again. Account spending limits and promotional credits are not treated as refundable deposits merely because they appear in the dashboard.

A restriction does not automatically forfeit the entire balance. A disputed or restricted amount may remain held under Section 17; undisputed funds will be returned when they are available and lawful to release. Network corrections or delayed charges may affect the final reconciliation.

13.4 Process and timing

Request a refund through your account manager or support@auroragroup.com. We aim to process an approved, fully verified and reconciled request within 10 business days; supplier or processing delays may extend this to 30 business days. Legal restrictions, incomplete verification or funds inaccessible at a third party may prevent release for longer. We will explain the status where permitted and will not describe restricted funds as available for immediate refund.

Refunds go to the verified original funding source where possible. Any alternative recipient, currency or method is subject to verification, legal restrictions and payment-provider requirements. We will explain applicable conversion rates and disclosed transfer costs before processing where a choice is available. A refund request does not remove mandatory payment-dispute rights.

14. Confidential Information

We will use your confidential information to deliver, secure and administer the services, enforce these Terms and meet lawful compliance obligations, with reasonable care to protect it. This does not cover information that is public without breach, already lawfully known, independently developed or lawfully obtained without a confidentiality restriction.

We may disclose information to group companies and service providers who need it for those purposes and are subject to appropriate confidentiality duties, and to relevant advertising platforms for account administration, verification or enforcement. Disclosures to authorities and other compliance recipients are governed by Section 3.4 and applicable data-protection law.

15. User Content

Some features of the platform may allow users to provide content and information. The user retains the copyright or any other rights it may have on the content it provides. Aurora Group is not responsible for the accuracy, safety or legality of content posted by users. The user is solely and exclusively responsible for its content and the consequences of its publication.

By providing content through the platform, the user grants Aurora Group a worldwide, non-exclusive, royalty-free, fully paid right and license to host, store, transfer, display, perform, reproduce and modify the user's content for the sole purpose of providing the services.

16. Personal Data

Personal information is handled under our Privacy Policy and applicable data-protection law. We may retain transaction, contractual, verification and investigation records where necessary for a documented legal, accounting, fraud-prevention or claims purpose. Retention must follow the applicable legal requirements and justified retention schedule, rather than keeping every category indefinitely.

Account closure does not require deletion of records we must or may lawfully retain. Requests for access, correction or deletion remain subject to applicable law. Where we process advertiser or end-user data on your instructions, the relevant data-processing agreement must identify roles, instructions, security, subprocessors, international transfers and deletion or return requirements.

17. Account Suspension and Fund Holds

17.1 Removal of non-compliant businesses

We may refuse onboarding or immediately suspend, restrict, disconnect or terminate a customer, business, underlying advertiser, workspace, campaign or advertising-account access where we reasonably believe it breaches these Terms, applicable law or an advertising platform's policies; provides false or incomplete verification; involves fraud or sanctions risk; or poses a material risk to Aurora, a platform, another customer or a third party. We may remove a non-compliant business from our services even if individual ads have previously been approved.

17.2 Advertising-platform instructions

If Meta, Google, TikTok, Snapchat or another platform we use instructs or requires us to stop serving an advertiser, close or restrict an account, disable content, revoke access or take another compliance action, we reserve the right to comply immediately without prior notice or an opportunity to cure. We may disable Aurora access and take actions within our authority; the platform controls accounts and permissions outside that authority. We are not required to supply a replacement account or a workaround to its enforcement decision.

We may preserve evidence and cooperate with platform reviews in accordance with Section 3.4. An appeal to Aurora does not stay the action, and we cannot guarantee reinstatement by the platform. When lawful and practicable, we will explain the action and how to submit relevant information. Notice may be delayed or limited where prohibited, required by the platform or reasonably necessary to avoid compromising an investigation or protective action.

17.3 Exceptional fund holds

To the extent permitted by law, we may temporarily hold or restrict the relevant funds where required by a competent authority; where verification, sanctions or fraud concerns need investigation; where a third-party provider lawfully restricts them; or where credible evidence indicates that the customer's breach has caused, or creates an imminent risk of, identifiable financial loss or liability to Aurora or another party. A platform's instruction to close an account does not, by itself, transfer ownership of the customer's remaining money to Aurora.

A hold must have a documented basis and be proportionate in amount and duration to the exposure or restriction. We may hold an amount reasonably necessary to investigate or secure an evidenced claim, such as unpaid authorised spend, a valid chargeback, remediation costs or a third-party claim attributable to the breach. Alleged damage does not permit an arbitrary penalty or automatic confiscation of all funds.

17.4 Review, deductions and release

We will review holds periodically, request information needed to resolve them and notify you of the basis and review status where disclosure is permitted. We will release amounts no longer reasonably needed and process any eligible refund under Section 13 once lawful and available. Funds subject to an asset freeze, order or other legal restriction will not be released without the required authority.

Any deduction to satisfy an amount actually due must comply with Section 23. A hold is distinct from a final set-off or a legally ordered forfeiture. You may dispute the basis or amount through support@auroragroup.com, without prejudicing mandatory legal rights. We do not pay interest on a lawful hold unless required by law. The liability protections in these Terms apply only to the extent legally permitted.

18. Indemnification

To the extent permitted by law, you will indemnify the relevant Aurora contracting entity and affected group companies, officers and personnel against reasonable, documented third-party claims, losses and costs caused by your material breach, unlawful or non-compliant advertising, infringement of rights, unauthorised data use, fraud or misrepresentation. Regulatory fines or penalties are included only where the law permits them to be indemnified.

You are also responsible for reasonable, documented direct losses caused to Aurora by your material breach, subject to causation, mitigation and applicable law. Recoverable amounts may include authorised unpaid spend, valid payment reversals and necessary remediation or defence costs. We will not recover the same loss twice or require you to pay losses to the extent caused by Aurora's own breach, negligence or misconduct.

We will notify you of a claim where lawful, provide reasonable supporting detail and take reasonable steps to mitigate loss. Any settlement requiring you to admit liability or undertake non-monetary obligations requires your consent, not to be unreasonably withheld. Temporary security for an unresolved claim is governed by Section 17; final deductions by Section 23.

19. Force Majeure

Aurora Group will not be liable for any failure to perform any obligation under this agreement if such failure is caused by the occurrence of any event beyond its reasonable control, including without limitation: internet outages, communications outages, fire, flood, war, act of God, pandemic, government action, regulatory action, sanctions enforcement, actions by stablecoin issuers (including but not limited to wallet freezing, token blacklisting, or fund destruction by Tether, Circle, or any other issuer), blockchain network disruptions, actions by third-party advertising platforms, and actions by payment processors or financial institutions.

20. Changes and Termination

We may update services and these Terms. Material changes will be communicated through the platform or registered contact details with reasonable advance notice where practicable. A change required urgently by law, security or platform enforcement may take effect immediately, with notice as soon as permitted. Changes do not retrospectively alter charges already incurred or remove rights already accrued.

You may stop using the affected service before a change takes effect, subject to outstanding charges and any existing subscription commitment. We may terminate for the grounds in Section 17 or otherwise by reasonable written notice. Termination does not guarantee that a third-party campaign has stopped; Section 8 applies. Final balances are reconciled under Sections 13, 17 and 23.

21. Assignment

You may not transfer this agreement or account access without our written consent and any permission required by the advertising platform. We may assign rights or transfer service obligations to a group company or a successor as permitted by law, with notice identifying the new contracting entity. A transfer does not remove accrued rights or obligations that cannot legally be transferred without consent.

22. Entire Agreement

These Terms, the applicable written order or service agreement and incorporated policies form the agreement for the relevant services. Specific written terms prevail only to the extent of an express conflict concerning that service. Advertising-platform policies remain independently applicable. No sales statement or account label authorises non-compliant activity or overrides a platform restriction.

23. Right of Set-Off

To the extent permitted by law and applicable payment-scheme rules, the relevant Aurora contracting entity may set off amounts actually due and payable to it against available funds it owes to you. These may include authorised unpaid spend, disclosed Aurora Fees, payment reversals that leave an enforceable unpaid obligation under Section 7, and documented losses recoverable under Section 18. Disputed, unquantified exposure may justify a proportionate temporary hold under Section 17, but is not automatically a final debt.

We will provide an itemised account of a deduction and its basis where legally permitted, and a route to dispute it. We will not deduct the same amount twice or use set-off to release or appropriate legally restricted assets. A different group company's involvement does not by itself permit cross-entity set-off; a separate lawful entitlement is required.

25. Frozen Wallet and Fund Recovery

An issuer, payment provider, advertising platform or authority may restrict funds or infrastructure beyond Aurora's control. We may be unable to advance equivalent funds or complete a withdrawal while that restriction remains. We will take reasonable steps within our control to investigate, seek lawful recovery where appropriate and reconcile recovered amounts to the relevant balances.

A third-party freeze does not itself extinguish the underlying contractual rights to funds. Final allocation of a loss or recovery must follow the applicable legal ownership, contractual rights and any binding order. We will not automatically charge an unrelated customer for another customer's misconduct merely because infrastructure is shared. Any recovery claim against the responsible customer is subject to Sections 17, 18 and 23 and must not result in double recovery.

These provisions do not waive responsibility for Aurora's own conduct where that responsibility cannot lawfully be excluded. We will explain material developments where legally permitted; no recovery date or outcome is guaranteed.

26. Limitation Period for Claims

Any claim, dispute, or cause of action arising out of or relating to these Terms, the platform, or the services must be commenced within twelve (12) months of the date on which the event giving rise to the claim first occurred. Any claim not brought within this period is permanently waived and barred, to the maximum extent permitted by applicable law. This limitation period applies to all claims regardless of the legal theory on which they are based, including contract, tort, negligence, strict liability, or any other basis.

27. Independent Parties

Aurora and the customer are independent contracting parties. Nothing creates a partnership, employment relationship or general authority to bind the other. The limited authority in Section 8 to transmit and implement advertising instructions does not create authority for unrelated commitments. Any additional agency, fiduciary or payment role depends on the actual arrangement and applicable law, not an account label.

28. Disputes

Please notify support@auroragroup.com of a dispute with the relevant account and transaction details. The parties will try in good faith to resolve it within 30 days of notice. This does not prevent urgent protective relief, mandatory statutory remedies, a required platform action or compliance with a legal order.

Unless the parties separately agree in writing to arbitration with an identified institution, rules and seat, unresolved disputes are subject to Section 29. Any restriction on collective proceedings applies only to the extent permitted by the law applicable to that claim; these Terms do not waive a right that cannot lawfully be waived.

29. Governing Law and Jurisdiction

Subject to any mandatory law and an express choice in your applicable written service agreement, these Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over disputes, except where the parties have entered a separate written arbitration agreement under Section 28 or applicable law requires otherwise.

This choice does not disapply sanctions, data-protection requirements, advertising-platform obligations or other mandatory law applicable to an Aurora entity, customer or transaction.

30. Severability

If any part of these Terms is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. Our failure or delay in enforcing any provision of these Terms at any time does not waive our right to enforce the same or any other provision(s) in the future. Any rights not expressly granted herein are reserved.

31. Survival

The following provisions survive termination or expiry of these Terms and related agreements: Section 3 (Client Verification and Compliance), Section 7 (Payment Disputes, Chargebacks and Recovery), Section 12 (Limitation of Liability), Section 14 (Confidential Information), Section 16 (Personal Data), Section 17 (Account Suspension and Fund Holds), Section 18 (Indemnification), Section 23 (Right of Set-Off), Section 25 (Frozen Wallet and Fund Recovery), Section 26 (Limitation Period for Claims), Section 27 (Independent Parties), Section 28 (Disputes), Section 29 (Governing Law and Jurisdiction), and this Section 31 (Survival).

Obligations that by their nature should survive also continue, including payment of properly owed amounts, lawful compliance cooperation and record retention, confidentiality, intellectual property and applicable liability limits. Survival does not extend a retention period beyond what is lawful and necessary.
